1. GENERAL PROVISIONS

 

1.1. These Membership Regulations of the Alliance of Technology Commercialization Professionals (hereinafter - Alliance) have been developed on the basis of the Law of the Republic of Kazakhstan dated May 31, 1996 № 3-I “On Public Unions”, the Law of the Republic of Kazakhstan dated January 16, 2001 № 142-II “On non-profit organizations” and the Charter of the Alliance, approved by the General meeting of the members of the Alliance (hereinafter - the General meeting) and is the main document defining the procedure for admission to membership in the Alliance, their rights and responsibilities, size and order of payment of membership fees and the procedure for exit from the Alliance (hereinafter - Regulations).

 

1.2. Membership in the Alliance is a representation of understanding of the importance and possibilities of active participation in technology commercialization, technology transfer, industrialization of the economy, supporting the development of the technological culture of the society, including the extended exchange of information and experience, advanced coordination and collaboration with other members of the Alliance, and ultimately accelerated achievement of their own socio-economically important goals.

 

1.3. Alliance, based on the voluntary nature of membership in the Alliance, uses a balanced approach on the issues related to membership and membership fees. Alliance helps to attract and increase the number of members, including foreign ones, in order to ensure full activity and gain influence and increase their skills through training and certification. To partially cover the costs of implementation of the charter activity, the Alliance collects membership fees. Alliance protects the interests of its members in the framework of its powers, including methods of consultation, advice, explanations and interpretations of the laws of the Republic of Kazakhstan in the field of science, commercialization and intellectual property (laws, codes, standards).

 

2. CONDITIONS AND PROCEDURE FOR ADMISSION TO MEMBERSHIP IN THE ALLIANCE

 

General provisions

 

2.1. Members of the Alliance are the founders of the Alliance, as well as legal and natural persons who joined the Alliance in the manner prescribed by the Charter of the Alliance and these Membership Regulations of the Alliance facilitating the further achievement of the goals of the Alliance, recognizing and fulfilling the Charter and other governing documents and decisions of the bodies of the Alliance.

 

2.2. Members of the Alliance can be Kazakhstani and foreign individuals and legal entities operating in the field of technology commercialization, innovation and high-tech business, education and science.

 

2.3. Membership in the Alliance is not an obstacle for membership in other non-profit organizations, professional and public associations.

 

Individual membership in the Alliance

 

2.4. Individuals who meet the requirements of paragraph 2.2 may apply to the following categories of membership:

 

- associate member of the Alliance - is available to individuals who have work experience in the field of technology commercialization for at least 1 year at the time of application.

- full member of the Alliance - is available to individuals who have experience in the field of technology commercialization, as well as investments in technology companies at least 2 years at the time of submission of the application, 40 hours of passed training seminars, as well as the confirmed list of technology commercialization results, including signed technology licensing deals and/or with attraction of private and public financing to technology companies. 

-  certified member of the Alliance - is available to individuals with full membership in the Alliance on the basis of passed certification for the degree of Certified Technology Commercialization Professional (CTCP), awarded by the Education and Certification Committee of the Alliance.

 

2.5. Associate membership of the Alliance provides the following benefits:

 

  • Connecting to online communication group of the Alliance (blogs, emailing, social network);
  • Open access to periodical and analytical publications of the Alliance;
  • 20% discount for participation at workshops and other learning events of the Alliance;
  • Free participation in the annual conferences and other activities of the Alliance.

 

2.6. Full membership in the Alliance provides the following benefits:

 

  • Connecting to online communication group of the Alliance (blogs, emailing, social network);
  • Open access to periodical and analytical publications of the Alliance;
  • Get free access to the corporate library of the Alliance;
  • Access to a closed group at the professional site in LinkedIn;
  • Inclusion of personal information in the list of full members of the Alliance on corporate website of the Alliance;
  • 20% discount for participation in certified workshops and other learning events of the Alliance;
  • Free participation in the annual conferences and other activities of the Alliance.

 

2.7. Certified membership in the Alliance provides the following benefits:

 

  • Inclusion in the list of «Certified technology commercialization professionals» of the Alliance;
  • Creating a personal profile on the corporate website of the Alliance;
  • Access to the corporate library of the Alliance;
  • Possibility to participate in the provision of services of the Alliance by activities;
  • Inclusion of achievements in technology commercialization sphere in the Collection of technology commercialization success stories in Kazakhstan (National technology transfer success stories), which will be used at educational courses in innovation entrepreneurship and technology commercialization at universities of the Republic of Kazakhstan;
  • Possibility of delivering a speech in annual conferences and other activities of the Alliance.

 

Corporate membership in the Alliance

 

2.8. Legal entities that meet the requirements of paragraph 2.2 may apply to the following categories of membership: associate membership and full membership

 

2.9. Associate membership of legal entities in the Alliance gives the opportunity to receive the following benefits:

 

  • Open access to periodical and analytical publications of the Alliance;
  • 20% discount for an organization's employees to participate in seminars and other training activities of the Alliance;
  • 20% discount for services of the Alliance.

 

2.10. Full membership of legal entities in the Alliance gives opportunity to receive the following benefits:

 

  • The inclusion of the results of scientific and scientific-technical activity of the organization in the project catalogue of the Alliance; 
  • Open access to periodical and analytical publications of the Alliance;
  • 20% discount for an organization's employees to participate in seminars and other training activities of the Alliance;
  • 20% discount for services of the Alliance; 
  • Participation in the annual conferences and other activities of the Alliance. 

 

The procedure of admission to the Alliance

 

2.11. The decision on the admission of a new member to the Alliance shall be adopted on the basis of the Charter of the Alliance and the membership regulations by the Board of the Alliance by qualified majority of votes - 2/3 of the total number of Board members. The decision of the Board of the Alliance on the admission of a new member to the Alliance shall be issued on the letterhead signed by the President, and in his absence by the Executive Director of the Alliance.

 

2.12. The applicant shall within 15 (fifteen) days after receiving a positive decision of the Board of the Alliance make a specified fee. In case of failure to make payment in full within the above mentioned term the applicant shall not become a member of the Alliance, and the admission of a new member to the Alliance shall be postponed until the date when the mentioned membership fee is paid, but for no longer than 6 months, after which the application shall be deemed withdrawn.

 

2.13. The first 12 months of membership of a legal entity in the Alliance can be free, and the applicant shall indicate in a statement thereof.

 

 

3. THE SIZE AND ORDER OF PAYMENT OF ENTRANCE AND MEMBERSHIP FEES FOR INDIVIDUALS AND LEGAL ENTITIES

 

3.1. Individuals are exempted from payment, and shall not make an entrance and membership fees. 

 

3.2. Legal entities pay entrance and membership fees in the prescribed amount. The entrance fee is paid by new member of the Alliance within 15 (fifteen) days of receipt of a positive decision of the Board for membership in the Alliance. Subsequent periodic membership fees shall be paid by each member of the Alliance for a year during the first quarter of the corresponding calendar year.

 

3.3. Size of entrance and periodic fees, as well as changes related to payment terms and forms of entrance fee shall be determined annually by the General Meeting of the members of the Alliance and shall be reflected in the relevant Minutes of the General Meeting.

 

3.4. Size of periodic annual membership fee is set according to the average annual number of employees of the organization - member of the Alliance:

up to 5 persons - 30 000 tenge;

from 5 to 20 persons - 50 000 tenge;

from 20 to 50 persons - 100 000 tenge;

more than 50 people - 300 000 tenge.

 

or optionally an equivalent amount in US dollars, Euro, Russian rubles at the rate of National Bank of the Republic of Kazakhstan as of the day of payment by non-residents of the Republic of Kazakhstan.

 

3.5. Members of the Alliance, who join the Alliance in the first half of the year, pay the entrance fee in the amount of the periodic annual membership fee, and pay a periodic membership fee in the following year. The members of the Alliance, entering the Alliance in the second half of the calendar year, have the opportunity, at its discretion, to pay an entrance fee of 100% or 50% of the periodic annual membership fee, and pay a periodic membership fee in the following year.

 

3.6. Entrance and membership fees paid to the Alliance are non-refundable.  

 

3.7. According to the application of the member of the Alliance and the relevant decision of the Alliance, a person can be exempted from paying membership fees for a period up to 12 months, or the payment of membership fees may be postponed for a period up to 12 months. No penalties or fines for the above exemption from the payment, or the postponed nature of the fees apply.

   

3.8. Members of the Alliance may make other voluntary contributions, including the ones for special purposes, to acquire the property and organize activities with the participation of the Alliance, as well as donations to provide financial assistance and other statutory objectives of the Alliance.

 

 

4.  RIGHTS AND OBLIGATIONS OF MEMBERS OF THE ALLIANCE

 

4.1. Members of the Alliance have the right to:

 

4.1.1. Participate in the management of affairs in the manner prescribed by the Charter, and to make proposals to the Board on all issues relating to the subject of the Alliance activity;

 

4.1.2. Receive information on the expenditure of funds, on the Alliance activities, indicate their belonging to the Alliance on their letterhead and stamps;

 

4.1.3. Make contributions to the funds created by the Alliance, finance and credit projects and programs implemented by the Alliance on favourable terms;

 

4.1.4. As a matter of priority, use the services provided by the Alliance. At the same time, the Member of the Alliance shall enter into a contract for the use of services provided on a reimbursable basis;

 

4.1.5. Use the full business information available in the Alliance;

 

4.1.6. Exit the Alliance at its discretion at the end of the fiscal year. In this case, it shall bear subsidiary liability for the obligations of the Alliance in proportion to its contribution within two years from the date of exit.

 

4.2. Member of the Alliance is obliged to:

 

4.2.1. Comply with the requirements of the Charter and other instruments adopted (approved) by the General Meeting and the Board of the Alliance.

 

4.2.2. Respect the interests of other members of the Alliance, strictly abide by terms of the treaties, contracts and agreements concluded with the members and partners of the Alliance;

 

4.2.3. Contribute in the order and amount stipulated by this charter.

 

4.2.4. Provide the Alliance with the information necessary to address issues related to its activities.

 

4.2.5. Assist the Alliance in its activities, as well as refrain from any action which may cause material or moral damage to the Alliance.

 

4.3. The rights of the Member of the Alliance cannot be transferred to third parties.

 

 

5. ORDER OF TERMINATION AND SUSPENSION OF MEMBERSHIP IN THE ALLIANCE

 

5.1. Membership in the Alliance is terminated in the following cases:

 

- A voluntary exit of the member from the Alliance;

- Exclusion from the Alliance;

- Liquidation or reorganization of a legal entity - member of the Alliance.

 

5.2. Exit from the membership of the Alliance:

 

5.2.1. Voluntary exit of a member from the Alliance shall be carried out only at the end of the financial year by submitting a written application to the Executive Director of the Alliance.

 

5.2.2. Not later than three months after submission of the application by the member to exit from the alliance, the Alliance must:

- determine the order of execution of previously assumed obligations by the member to the other members and the Alliance in general;

- solve other issues related to the exit of a member from the Alliance;

- make financial arrangements with the leaving member under the agreements concluded with the Alliance.

 

5.2.3. After solving the above issues, the Board approves at the next meeting the applicant's decision to exit from membership of the Alliance.

 

5.3. Exclusion from membership of the Alliance:

 

5.3.1. The member of the Alliance can be expelled from the Alliance without his consent, i.e. unilaterally, on the grounds approved by the General Meeting of the members of the Alliance, adopted by a qualified majority of votes present at the meeting.

 

The grounds for exclusion of the members of the Alliance are:

 

- Violation of the current legislation of the Republic of Kazakhstan, which resulted or may result in negative consequences for the Alliance as a whole and/or its individual members;

- Failure to comply with the provisions of the constituent documents;

- A violation of ethical norms, regulated by internal documents of the Alliance;

- Improper actions in relation to the Alliance as a whole or its individual members, which resulted in or could result in property damage or damage to the business reputation of the Alliance in general or its individual members;

- Non-payment of membership fees at the end of the financial year;

- Disclosure of confidential information, which resulted in or could result in material damage to the Alliance in general or its individual members or reputational damage. The list of confidential information is set by the General Meeting of members of the Alliance.

 

5.3.2. Voluntary exit from the Alliance is not a reason for refusing to re-admit to membership in the Alliance of the person who has previously voluntarily exited from the membership of the Alliance, in the manner prescribed by the Charter and the Regulation of the Alliance.

 

5.3.3. The person previously excluded from the membership of the Alliance may not be re-admitted as a member of the Alliance.

 

5.3.4. Liquidation or reorganization of a legal entity - member of the Alliance will automatically terminate the membership in the Alliance after the date of its liquidation or reorganization.

 

 

6. FINAL PROVISIONS

 

6.1. This Regulation shall enter into force upon its approval by the General Meeting of the members of the Alliance.

 

6.2. Amendments to this Regulation shall be made on the basis of a decision of the General Meeting of the members of the Alliance.
